Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between Shekl, Inc. (“Shekl,” “we,” “us”) and the business or individual that registers for or uses the Shekl cash-flow forecasting platform and related services (the “Service”). By creating an account, clicking “I agree,” or using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you are authorized to bind it.

1. The Service

Shekl is a software-as-a-service platform that connects to your financial accounts and sales systems to generate cash-flow forecasts and related analytics. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription term. Software availability is described in the Service Level Agreement, incorporated by reference. Shekl provides software only and does not provide labor, consulting, bookkeeping, or professional services to prepare or interpret your forecasts.

2. Eligibility and Accounts

  • The Service is intended for business use by users who are at least 18 years old. It is not directed to consumers for personal, family, or household purposes, and not to anyone under 18.
  • You must provide accurate registration information and keep it current.
  • You are responsible for all activity under your account and for safeguarding your credentials. Notify us promptly at security@shekl.ai of any unauthorized use.

3. Subscriptions, Fees, and Auto-Renewal

Paid plans, billing cycles, automatic renewal, price changes, cancellation, and refunds are governed by the Subscription, Billing & Refund Policy, which is incorporated into these Terms by reference. Subscriptions are priced per connected company, not per user. Fees are processed by our third-party payment processor (currently Stripe). You authorize us and our processor to charge your selected payment method on a recurring basis until you cancel.

4. Connected Accounts and Third-Party Services

To deliver forecasts, the Service connects to your bank, credit-card, and point-of-sale or payment accounts through third-party providers, including Plaid (bank and card data) and Stripe and Square (sales and payment data). Connected data is processed by our AI provider, Anthropic (provider of the Claude AI models), to generate forecasts. Your authorization for these connections is governed by the Financial Account Data Access Authorization, incorporated by reference.

  • You represent that you are authorized to connect each account and to permit Shekl to access the associated data.
  • Third-party providers are independent; your use of their services is subject to their own terms and privacy policies. We are not responsible for the acts, omissions, availability, or accuracy of third-party providers or the data they transmit.
  • You may disconnect a linked account at any time through the Service; doing so may limit or disable forecasting features.

5. Forecasts Are Not Financial Advice

FORECASTS, PROJECTIONS, AND OTHER OUTPUTS ARE ESTIMATES GENERATED BY AUTOMATED MODELS FROM HISTORICAL AND CONNECTED DATA. THEY ARE NOT GUARANTEES AND ARE NOT FINANCIAL, INVESTMENT, TAX, ACCOUNTING, OR LEGAL ADVICE. See the Forecast Disclaimer & AI Data Use Disclosure for important limitations. You are solely responsible for decisions you make based on the Service.

6. Customer Data; License; De-Identified Data

  • As between the parties, you retain all rights in the data you or your connected accounts provide (“Customer Data”).
  • You grant Shekl a worldwide, non-exclusive license to host, process, and use Customer Data to provide, secure, maintain, and improve the Service, and as described in the Privacy Policy.
  • We may create and use aggregated and de-identified data that does not identify you or any individual for any lawful business purpose, including improving our models, provided we do not re-identify it and disclose such use as required.

7. Acceptable Use

Your use of the Service is subject to the Acceptable Use Policy, incorporated by reference. We may suspend or terminate access for violations.

8. Intellectual Property

The Service, including all software, models, and content (excluding Customer Data), is owned by Shekl or its licensors and is protected by intellectual-property laws. We reserve all rights not expressly granted. You may not copy, modify, reverse engineer, or create derivative works except as permitted by law.

9. Confidentiality

Each party may receive confidential information of the other. The receiving party will use it only to perform under these Terms and protect it with reasonable care. This section does not apply to information that is public, independently developed, or rightfully received from a third party.

10. Warranty Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHEKL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT FORECASTS WILL BE ACCURATE OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHEKL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL. SHEKL'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO SHEKL IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You will defend, indemnify, and hold harmless Shekl from claims arising out of your Customer Data, your use of the Service, or your breach of these Terms, except to the extent caused by Shekl's gross negligence or willful misconduct.

13. Term, Termination, and Suspension

  • These Terms apply while you use the Service or have an active account.
  • Either party may terminate as described in the billing policy; we may suspend or terminate immediately for material breach, security risk, or legal requirement.
  • On termination, your right to use the Service ends. We will handle Customer Data as described in the Privacy Policy and any applicable Data Processing Addendum.

14. Changes to the Service or Terms

We may modify the Service or these Terms. For material changes we will provide reasonable notice (for example, by email or in-app notice). Continued use after the effective date constitutes acceptance.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws rules.

PLEASE READ CAREFULLY. Any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules, seated in New Jersey, rather than in court, except that either party may seek relief in small-claims court or injunctive relief for intellectual-property or unauthorized-access claims. YOU AND SHEKL WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@shekl.ai.

16. General

These Terms, together with the policies incorporated by reference, are the entire agreement between the parties. If any provision is unenforceable, the rest remains in effect. We may assign these Terms in connection with a merger or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. Notices to Shekl go to legal@shekl.ai; notices to you may be sent to your account email.
